At School Owl, we want to ensure that you can use our services via our website, www.schoolowl.co.uk (“Website”). We have therefore set out our terms and conditions (“Terms”) by which we provide you with our services and which apply to all users. We ask that you please read the Terms carefully when you access our Website and to print and retain a copy of these Terms for your future reference.

The provisions of these Terms are legally binding on you. By accessing or by making any use of the Website or the services provided by School Owl (“School Owl Service(s)”), you are indicating your agreement to be bound by these Terms. If you disagree with the provisions of these Terms, you will not be able to use the Website and all its features and functionalities.

To use the School Owl Service, you will need your mobile or smartphone, tablet or other devices that allow you to access the internet.

To use the School Owl Service you expressly represent and warrant that you are legally entitled to enter these Terms, that you are at least 18 years of age and that you have authority and capacity to enter into these Terms. The School Owl Service is not available to persons under the age of 18.

School Owl may modify these Terms at any time. Any such modification shall be posted on the Website. By using the School Owl Services, you agree to be bound by any such changes to these Terms. 1. THE WEBSITE

1.1 The Website is owned and managed by School Owl Limited, trading under the brand name School Owl (“We” or “Us” or “Our”), a company registered in England and Wales with company registration number 13864847 and registered address at 40 Wolseley Gardens, London, W4 3LS, England.

1.2 School Owl operates and maintains the Website that can be used to apply for accelerator programmes offered by School Owl. Further details of School Owl Services can be found by visiting the Website.

2. REGISTRATION

2.1 Anyone may access our Website. However, in order to use the School Owl Services, you shall be required to register with us as a registered user (“Registered User” or “You”).

2.2 Registered Users who intend to use the School Owl Services will either be an individual, or group of individuals, or an existing business operating from the UK.

2.3 Users can register by completing their details on the Website. To provide you with a safe environment to use the School Owl Services, we will conduct verification and security procedures in respect of the information provided by you in your online registration form.

2.4 By registering with and providing us with your name, email address and contact mobile telephone number, you consent to School Owl communicating with you by email, text and push messaging, including without limitation, to provide you notice of any security breach in lieu of other written notification.

2.5 Users who register for the School Owl Service via the website will receive an email message, which forms part of the verification process. The user must reply to the email message in accordance with the instructions provided therein. School Owl will not be liable to the user for any costs incurred in responding to the email message. On receipt of the user’s email message reply, School Owl may complete the registration process.

2.7 You warrant that the information you provide to us at all times is true, accurate and correct. You agree to promptly notify us of any changes to your personal details so that we may update our records of your details to provide you with the School Owl Services.

2.8 We reserve the right to suspend your access to the Website or the School Owl Services if we have reason to believe that you have not complied with the provisions of these Terms.

3. USING THE WEBSITE AND THE SCHOOL OWL SERVICES

3.1 You are solely responsible and liable for your use of the School Owl Services and the Website. You shall keep your login details safe and secure to ensure that they are not used without your permission. You agree to notify us immediately if you suspect any unauthorised use of your account or access to your login details.

3.2 In order to provide you with a safe and secure environment in your use of the School Owl Services and the Website, you shall:

3.2.1 not use the Website for any criminal or tortious activity, including but not limited to, fraud, trafficking obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of invalid data, worms, viruses or other harmful files, copyright, trademark, or patent infringement, or theft of trade secrets or personal data;

3.2.2 not advertise/solicit to any use to buy/sell any products or services through the School Owl Services;

3.2.3 not use your login details and/or account if you are a Registered User, with the intent of impersonating another person;

3.2.4 not allow any other person to use your login details and/or account if you are a Registered User;

3.2.5 not use the information presented on the Website and/or through your use of the School Owl Services for any purposes other than as stated above;

3.2.6 not do anything likely to impair, interfere with or damage or cause harm or distress to any persons using the Website and the School Owl Services or in respect of the network;

3.2.7 not use the Website and/or the School Owl Services and/or do anything that will infringe any intellectual property right or other rights of any third parties;

3.2.8 comply with all instructions and policies which we provide to you from time to time in respect of the Website and your use of the School Owl Services;

3.2.9 co-operate with any reasonable security or other checks or requests for information made by us from time to time; and

3.2.10 use the information made available to you using the Website and the School Owl Services at your own risk.

3.3 We take breaches of this provision very seriously and therefore reserve the right to take any action that we deem necessary. This can include, without limitation, suspension or termination of your use of the School Owl Services and/or the Website. In certain circumstances, we may instigate legal proceedings as appropriate if there is the illegal use of our Website or the School Owli Services.

4. TERMINATION

4.1 The circumstances which give us a right to suspend and/or terminate your access to the Website, and/or the School Owl Services are as follows:

4.1.1 if our network providers and suppliers cease providing us with their services;

4.1.2 if we have reason to believe that you have breached any of the provisions under these Terms;

4.1.3 where we have reason to believe that you fail to comply with the applicable laws and legislations;

4.1.4 where we have reason to believe that your login details and account with us may have been hacked into by a third party and used without your authorisation; or

4.1.5 in situations where we have reason to believe that you have provided us with false, inaccurate or misleading information when you registered with us.

5. WARRANTIES AND LIABILITIES

5.1 You hereby warrant that (a) you have the right and capacity to enter into and be bound by these Terms, and (b) you shall comply with all applicable laws regarding your use of the Website and the School Owl Services.

5.2 We make no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Website and the School Owl Services. We do not represent or warrant that (a) the use of the Website and the School Owl Services will be secure, timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data; or (b) the Website and the School Owl Services will meet your requirements or expectations. The Website and the School Owl Services is provided to you strictly on an "as is" basis. All conditions, representations and warranties, whether express, implied, statutory or otherwise are hereby disclaimed to the maximum extent permitted by applicable law by the company. You acknowledge and agree that the entire risk arising out of your use of the Website and the School Owl Services remains solely with you, to the maximum extent permitted by law.

5.3 We may display links to third-party websites and third-party advertising banners on the Website. However, we cannot be responsible and do not accept any liability for the content and your use of such third party links and advertising banners.

5.4 We also rely on other service providers (such as network provider, data centres, telecommunication providers) to make the Website and the School Owl Services available to you. Whilst we take all reasonable steps available to us to provide you with a good level of service, we do not guarantee that the service we provide will be fault free or uninterrupted at all times. We, therefore, do not take responsibility for any losses you may suffer as a result of delays or failures of the Website or the School Owl Services as a result of our service providers.

5.5 To the maximum extent permitted by law, we expressly exclude:

5.5.1 all conditions, warranties and other terms whether expressed or which might otherwise be implied by statute or common law;

5.5.2 any liability for indirect or consequential loss which are losses incurred as a side effect of the primary loss or damage;

5.5.3 loss of profit;

5.5.4 loss of income or revenue;

5.5.5 loss of business or contracts;

5.5.6 loss of data;

5.5.7 loss of goodwill and reputation; or

5.5.8 for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of terms or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.

5.6 Nothing in these Terms shall serve to limit or exclude our liability for death or personal injury resulting from our negligence.

5.7 Subject to clause 5.7, our total liability to you whether in contract, tort or otherwise in respect of these Terms shall be limited to £75.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 We and our licensors own all rights in the intellectual property rights relating to the Website. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

6.2 We hereby grant Registered Users a non-exclusive, non-transferable, right to use the Website and the School Owl Services, solely for your own personal, non-commercial purposes (save for Traders), subject to these Terms. All rights not expressly granted to you are reserved by us and our licensors.

6.3 You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the School Owl Services, the Website in any way; (ii) modify the School Owl Services or the Website; (iii) reverse engineer or access the School Owl Services, or the Website in order to (a) build a competitive product or service, (b) make a product using similar ideas, features, functions or graphics of the School Owl Services or the Website, or (c) copy any ideas, features, functions or pictures of the School Owl Services, or the Website, or (v) launch an automated programme or script, including, but not limited to, web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses or worms, or any programme which may make multiple server requests per second, or unduly burdens or hinders the operation and/or performance of the School Owl Services or the Website.

7. COMPLAINTS & FEEDBACK

8. DATA PROTECTION

8.1 You hereby undertake to procure that your use of the School Owl Services is compliant with all applicable laws and legislation in respect of data protection.

8.2 For Personal Data (as defined in the Data Protection Act 1998) processed by you using the School Owl Services, you hereby undertake to act strictly in accordance with the provisions of the Data Protection Act 1998.

8.3 You and we acknowledge and agree that you are the data controller and that we are the data processor in respect of the Data (as such terms are defined in the Data Protection Act 1998). You, therefore, confirm that you shall be solely responsible for ensuring that any data processing and security obligations under these Terms comply with applicable data protection laws. We shall only process Personal Data for the purposes of providing you with the School Owl Services. We have in place and will maintain for the duration of these Terms, such appropriate technical and organisational measures against the accidental, unauthorised or unlawful processing, destruction, or disclosure of Personal Data and adequate security programmes and procedures to ensure that unauthorised persons do not have access to any equipment used to process Personal Data.

9. MISCELLANEOUS

9.1 If any of the provisions of these Terms are deemed to be invalid, unlawful or unenforceable for any reason, they will to the extent be severed from the remaining Terms, and the rest of the provisions of these Terms shall continue to be valid to the fullest extent permitted by law.

9.2 These Terms shall be governed by and construed in accordance with English law and the English courts shall have exclusive jurisdiction. If you live outside the UK, English law shall apply only to the extent that it does not deprive you of any legal protection accorded under the law of the place where you are habitually resident. If English law deprives you of any legal protection which is accorded to you under your local law, these terms will be governed by your local law, and any dispute or claim arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts where you are habitually resident.
